Terms and Conditions
These terms and conditions (hereinafter: "Terms and Conditions") apply to all services and agreements between BRBX BV, located at Nieuwdorp 5, 3990 Peer, Belgium, registered with the Crossroads Bank for Enterprises under number 1012.081.766 (hereinafter: "Recommand"), and its customers.

1. Scope of Application
1.1 Recommand acts as a certified Peppol Access Point (Peppol Service Provider) and enables companies to send and receive electronic documents, such as invoices and order messages, via the Peppol network. For this purpose, Recommand offers an open-source API, supplemented with a commercially managed offering where Recommand is responsible for technical operation, network connection, certification, and operational support.
1.2 These terms apply to all offers, agreements, orders and deliveries, unless expressly agreed otherwise in writing by both parties.
1.3 By using Recommand's services, the customer accepts these terms in full.
2. Services and License
2.1 The Recommand API is open-source and freely available under the GNU Affero General Public License v3 (AGPLv3). The source code can be viewed at: https://github.com/brbxai/recommand-peppol.
2.2 Customers may use this source code within the terms of this license. Recommand bears no responsibility for self-hosted implementations of this open-source code.
2.3 For using Recommand as a certified Peppol access point, a subscription with associated fees applies (see article 4).
2.4 Customers retain access to the API and dashboard as long as they have a valid subscription.
3. Intellectual Property
3.1 The Recommand brand name and all non-public software components, dashboards, documentation and marketing materials remain the property of BRBX BV.
3.2 The customer obtains only a limited, non-exclusive, non-transferable right to use the services provided by Recommand.
4. Price and Payment
4.1 The customer chooses a pricing plan according to the current pricing information at recommand.eu/pricing. The stated prices are exclusive of VAT, unless otherwise indicated.
4.2 Payment is made via automatic monthly billing, unless otherwise agreed.
4.3 Late payments give rise to default interest and a flat-rate compensation in accordance with the Law on combating payment delays in commercial transactions.
5. Hosting and Availability
5.1 Recommand strives for 99.9% availability for its managed services. Maintenance and updates are announced in a timely manner.
5.2 Recommand cannot be held responsible for limitations or interruptions caused by external factors (such as network providers, force majeure).
6. Liability
6.1 Recommand is not liable for indirect damage, loss of profits, loss of data or any consequence of using its software.
6.2 If liability is nevertheless established, it is limited to the amount that the customer paid in the last 3 months.
6.3 Recommand is not liable for errors or damage resulting from incorrect or incomplete data provided by the customer.
7. Termination
7.1 Either party may terminate the agreement in writing with a notice period of one month.
7.2 In case of breach of contract or non-payment, Recommand may immediately suspend access to its services.
7.3 Recommand reserves the right to immediately terminate the agreement in case of abuse, infringement of third party rights, or violation of applicable laws and regulations by the customer.
8. Applicable Law and Competent Court
8.1 Belgian law applies exclusively to this agreement.
8.2 Any disputes fall under the exclusive jurisdiction of the courts of Antwerp, Hasselt division.
